Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PropCapitol platform operated by PropCapitol, Inc. ("PropCapitol," "we," "us," or "our"). By creating an account or using our Service, you agree to be bound by these Terms.

1. Platform Overview

PropCapitol is a commercial real estate capital markets platform that connects borrowers seeking financing with lenders and investors. The platform provides algorithmic matching, deal management, document workflows, messaging, and market intelligence tools. PropCapitol is a technology platform and does not itself provide lending, investment advice, brokerage, or financial services.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity. Investor accounts require accredited investor status as defined by the SEC.

3. Account Registration and Roles

You must register for an account and select a role to use the platform:

  • Borrowers submit loan applications, upload documents, and receive matches with qualified lenders and investors.
  • Lenders receive curated deal flow based on their lending criteria, issue soft quotes, and manage their pipeline.
  • Investors receive equity and investment opportunities matched to their preferences and manage their deal pipeline.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information during registration and to update your profile as needed.

4. Subscription Plans and Payments

PropCapitol offers tiered subscription plans (Free, Silver, Gold, and Platinum) with varying levels of access to platform features including lead matching, deal priority, and advanced tools. Details of current plans and pricing are available on our Pricing page.

  • Subscription fees are billed monthly or annually as selected at the time of purchase.
  • All fees are non-refundable except as required by applicable law.
  • We reserve the right to change pricing with 30 days' notice. Existing subscribers will be honored at their current rate through the end of their billing cycle.
  • Free tier accounts that remain inactive for 90 days may be subject to data archival.

5. Matching and Deal Flow

Our matching algorithm connects borrowers with lenders and investors based on stated criteria including loan amount, asset type, geography, LTV, and capital structure. You acknowledge that:

  • Matches are generated algorithmically and do not constitute an endorsement, recommendation, or guarantee of any party or transaction.
  • Match priority and visibility may vary based on your subscription tier.
  • PropCapitol does not guarantee that any match will result in a closed transaction, funded loan, or investment.
  • Soft quotes provided by lenders through the platform are non-binding indications of interest, not loan commitments.
  • You are solely responsible for conducting your own due diligence on any counterparty or transaction.

6. Documents and Data

You retain ownership of all documents and data you upload to the platform. By uploading content, you grant PropCapitol a limited license to store, process, and transmit that content as necessary to provide the Service. You represent that:

  • You have the legal right to upload and share all documents you submit.
  • All financial information and documents you provide are accurate and not misleading.
  • You will not upload fraudulent, falsified, or materially misleading documents.

Document access is controlled by role-based permissions. Documents shared with matched counterparties are accessible only to authorized parties in that transaction.

7. Messaging and Communications

The platform provides in-app messaging between matched parties. You agree not to use messaging for spam, solicitation outside the scope of a matched deal, harassment, or transmission of malicious content. PropCapitol reserves the right to monitor communications for compliance and safety purposes.

8. Prohibited Conduct

You agree not to:

  • Submit false, misleading, or fraudulent loan applications, financial statements, or documents
  • Misrepresent your identity, qualifications, licensing, or accreditation status
  • Circumvent the platform to conduct transactions directly with parties you were matched with through PropCapitol
  • Scrape, harvest, or collect data about other users or deals
  • Reverse engineer, decompile, or attempt to extract the source code or matching algorithms
  • Use the platform to launder money or facilitate any illegal transaction
  • Share your account credentials or allow unauthorized access to your account
  • Interfere with or disrupt the integrity or performance of the Service

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." PropCapitol makes no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

PropCapitol is not a bank, lender, broker-dealer, investment advisor, or financial institution. We do not provide financial, legal, or tax advice. The matching service, market news, and deal tools are informational and do not constitute investment advice or lending commitments.

Market intelligence and news content sourced from third parties (including HousingWire, National Mortgage News, The Real Deal, and Calculated Risk) is provided for informational purposes only. PropCapitol does not guarantee the accuracy or timeliness of third-party content.

10. Limitation of Liability

To the maximum extent permitted by law, PropCapitol shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, deals, data, or business opportunities, arising from your use of the Service. PropCapitol's total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to PropCapitol in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless PropCapitol, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Account Termination

You may close your account at any time by contacting us. PropCapitol reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for extended periods. Upon termination, your access to the platform and associated data will be removed, subject to legal retention requirements.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. You agree to resolve disputes on an individual basis and waive any right to participate in a class action.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15. Changes to These Terms

We may revise these Terms at any time by posting the updated version on this page. Material changes will be communicated via email or in-platform notification. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
